By accessing or using the Veltrix SecOps platform, website, or any services provided by Veltrix (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you and Veltrix SecOps, a division of Captivator Technologies ("Veltrix," "we," "our," or "us") governing your access to and use of the Services, including any security automation features, security configuration management tools, and DevSecOps automation capabilities.
We may update these Terms from time to time to reflect changes in our practices, Services, or for legal, operational, or regulatory reasons. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitute your acceptance of the revised Terms.
You must be at least 18 years old and have the legal authority to enter into these Terms to use our Services. By using the Services, you represent and warrant that you meet these requirements.
To access certain features of our security orchestration platform, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

You retain all rights to any information, data, or materials that you submit to the Services ("Your Content"). By providing Your Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute Your Content for the purpose of providing and improving the Services.

Our Services focus on security automation, security configuration management, and policy-as-code security. While we implement reasonable security measures to protect your information and systems, no security measures are perfect or impenetrable. We cannot guarantee that our Services will prevent all security breaches or that your use of our Services will render your systems completely secure.

Certain aspects of the Services may be provided for a fee. You agree to pay all applicable fees as described on our website or as agreed upon in a separate agreement. All fees are non-refundable unless expressly stated otherwise or required by law.
We may change our fees from time to time by posting the changes on our website or by notifying you directly. Your continued use of the fee-based Services after the fee change becomes effective constitutes your agreement to pay the changed amount.
The Services and all content, features, and functionality thereof (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Veltrix, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features without our prior written consent.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Veltrix does not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VELTRIX BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.
IN NO EVENT WILL VELTRIX'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO VELTRIX IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Veltrix and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that Your Content caused damage to a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Howard County, Maryland.
These Terms constitute the entire agreement between you and Veltrix regarding our Services and supersede any prior agreements, communications, or understandings on the subject matter.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect.
